B2B SaaS Terms of Service

1. Acceptance of Terms

These Terms of Service (the "Terms") govern your use of the FidelAPI routing algorithms, endpoints, software, API, sandboxes, and the website al-noor-trading.com (collectively, the "Services"), provided by Al-Noor Trading Logistics ("us," "we," or "our").

By accessing or using the Services, or by executing an Order Form referencing these Terms, you agree on behalf of the business entity you represent ("Customer," "you") to be bound by these Terms.

2. Provision of the Services

2.1 License Grant: We grant you a non-exclusive, non-transferable right and license to access and use the FidelAPI solely for your internal business operations, subject to volume limits and rate limits specified in your tier.

2.2 API Keys & Security: You are responsible for securely managing your production and sandbox API keys. Al-Noor Trading is not liable for unauthorized access resulting from leaked keys. You must notify us immediately at api-support@al-noor-trading.com if you suspect a breach.

3. Usage Restrictions

You shall not, and shall not permit any third party to:

• Reverse engineer, decompile, or disassemble the FidelAPI routing engine.
• Attempt to discover underlying heuristic traffic models or source code.
• Resell, sublicense, or distribute the Services to third parties as a standalone routing product (White-labeling must be explicitly approved via an Enterprise Contract).
• Use the API to transmit malicious payloads or violate the laws of the United States.

4. Intellectual Property

All rights, title, and interest in and to the Services, including the FidelAPI algorithms, Al-Noor Trading Logistics historical supply chain data models, logos, code, and documentation, are intellectual property owned by us. No rights are granted to you other than as expressly set forth herein.

5. Limitation of Liability

IN NO EVENT WILL AL-NOOR TRADING LOGISTICS BE LIABLE FOR ANY LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR OTHER INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE FIDELAPI SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

6. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to any choice or conflict of law provision. Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the federal courts of the United States or the courts of the State of Texas, in each case located in Dallas County.
